FCC pauses review of T-Mobile, Sprint merger

The Federal Communications Commision needs more time to consider whether to approve a multibillion-dollar merger between Sprint and T-Mobile.

The FCC is pausing its informal 180-day "shot clock" for the merger as T-Mobile has submitted substantially revised information to the Commission. The companies submitted their formal merger query of to the FCC in June, wherein they vowed to "suppose a tough, nationwide world-class 5G community and providers and products sooner than in any other case imaginable".

The proposed deal is complex and very high-profile, considering that it involves subsidiaries of two global corporations, Deutsche Telekom of Germany and Softbank of Japan, and also because of its direct impact on US households.

The companies had unsuccessfully tried to merge in 2014 and 2017, with regulators stopping the first attempt and disagreement over how much control the companies would have nixing the deal on the second attempt.

"Considering the complexity and potential importance of these newly-provided and expected models, it is appropriate to stop the informal 180-day clock to allow time for their review", writes David Lawrence, the director of the T-Mobile / Sprint Transaction Task Force, and Donald Stockdale, the chief of Wireless Telecommunication Bureau. The new model is significantly larger and more complex than the old one, the FCC explains, and it incorporates new logic, methodologies, facts, and assumptions that are central to the merger's claimed network benefits.

The FCC says the clock will remain paused until the companies submit all necessary information and the commission can then review that information. The FCC says that it didn't get Build 9 until September 5th. It also needs to review a new business model referred to as "Build 9".

T-Mobile recently disclosed that it intends to submit additional economic modeling in support of the Applications, beyond that strictly responsive to the various economic analyses in the Petitions to Deny.
